VESTALAND MINI APP TERMS OF USE

Article 1: Acceptance of Terms

By using the VestaLand Mini App ("the Mini App") on the Zalo platform, you confirm that you have read, understood, and agree to comply with these terms, as well as Zalo's policies.

If you do not agree, please cease using the Mini App immediately. These terms are effective as soon as you begin to access the Mini App.

Article 2: Definitions

  • "We" / "Us" / "VestaLand": Refers to VestaLand LLC, the owner and operator of this Mini App.
  • "You" / "User": Refers to the individual or organization using VestaLand's Services via the Mini App.
  • "Service(s)": Includes all features, products, utilities, and content provided through the Mini App.

Article 3: Privacy

  • You grant us permission to use basic information from your Zalo account (such as display name and profile picture) to provide and improve the Service.
  • We are committed to protecting your information in accordance with Zalo's policies and Vietnamese law. Please refer to our Privacy Policy for more details.

Article 4: User Responsibilities

  • You are permitted to use the Service for personal and lawful purposes, in strict accordance with these terms.
  • You are solely responsible for all your activities and must not violate any laws, Zalo's policies, or our regulations.

Article 5: Disclaimer of Liability

  • The Service is provided on an "as is" basis. We do not guarantee that the Mini App will always be stable, error-free, or uninterrupted.
  • We are not liable for any technical incidents or issues originating from the Zalo platform.

Article 6: Changes to Terms

We reserve the right to change these terms at any time. The new version will be updated on the Mini App and will take effect immediately. By continuing to use the Service, you agree to such changes.

The VestaLand Mini App focuses on creating a fast and efficient interactive experience, helping you connect with specialists and access key real estate information directly on the Zalo platform.

1. ONLINE BROKERAGE SERVICES (Connection & Consultation)

Features to help you start your property buying, selling, or leasing journey:

  • 1-on-1 Consultation via Zalo Chat: Allows you to send inquiries, ask quick questions, and schedule direct consultations with VestaLand's real estate agents right within the Mini App.
  • Quick Search & View: Presents a list of featured properties, the latest projects, or special offerings, optimized for mobile viewing.
  • Submit an Inquiry: A feature for submitting detailed requests (to buy, sell, rent, or lease) so that VestaLand can proactively contact you and find suitable properties.

2. MARKET INFORMATION SERVICES (Real-time Updates)

Providing concise and useful information:

  • Market News: Updates on the latest news and hottest trends in the domestic and regional real estate market.
  • Project Portfolio: A summary of basic information about key projects that VestaLand is distributing.
  • Receive Notifications: Allows users to subscribe to receive push notifications or messages from VestaLand's Zalo OA about the latest products and policies.

3. TOOLS & SUPPORT SERVICES (Decision Support)

Providing handy tools and quick support channels:

  • Preliminary Calculation Tool: Calculate loans, interest rates, or estimate monthly mortgage payments (for reference purposes only).
  • Legal Support Request: A portal to submit requests to connect with VestaLand's legal team.
  • Property Management Registration: A simple form for property owners to register for rental property management services.

Disclaimer on Services

Services provided via the Mini App may be streamlined and focused on establishing connections. Complex procedures (such as contract signing, detailed appraisals, and legal paperwork processing) will be completed through other official communication channels or platforms of VestaLand.

TERMS FOR USER ACCOUNTS ON THE MINI APP

1. Linking and Using Zalo Accounts

  • No New Account Creation Required: To use the features of the Mini App, you do not need to create a new account or password. Instead, you will use your own Zalo account to log in and be identified.
  • Consent to Link: By clicking the "Allow" or "Agree" button when prompted by the Mini App, you consent to linking your Zalo account with the Vesta Land Mini App. We will access the basic information permitted by Zalo (such as your display name and profile picture) to personalize your service experience.
  • Ensuring Zalo Information Accuracy: The information we use is taken directly from your Zalo profile. Therefore, you are responsible for ensuring that the information on your Zalo account is accurate and up-to-date.
  • Single Account Policy: Each Zalo account can only be linked to one unique user profile on our Mini App.

2. User's Security Responsibilities

  • Zalo Account Security is Paramount: As the Mini App uses your Zalo account, you are fully responsible for securing the Zalo account itself, including its password, logged-in devices, and related authentication information.
  • Do Not Share Your Zalo Account: Do not share your Zalo account login information with anyone else for the purpose of using our Mini App.
  • Immediate Notification: You must notify us and Zalo immediately if you detect any signs of unauthorized access or use of your Zalo account within the Vesta Land Mini App.

3. Vesta Land's Rights

We reserve the full right to:

  • Deny Access: Refuse to allow a Zalo account to use the Mini App if we detect signs of fraud or failure to meet our community standards.
  • Suspend or Terminate Access: Suspend or permanently disable access to the Mini App for any account that violates these terms, without prior notice.
  • Request Additional Verification: In certain necessary cases (e.g., for important transactions), we may ask you to provide additional information to verify your identity.

RULES OF SERVICE USE ON THE MINI APP

When using the services and features on the VestaLand Mini App, you agree to comply with the following rules to ensure a respectful and effective interactive environment.

PERMITTED ACTIONS:

  • For Legitimate Purposes: To research and search for information about real estate projects and products offered by VestaLand.
  • To Connect and Consult: To use the chat feature or other integrated communication channels to connect with our consulting team for support.
  • To Share Information: To use Zalo's sharing feature to send information about properties or projects you are interested in to family and friends.
  • To Use Tools: To utilize the tools and utilities provided within the Mini App (such as the loan calculator) to support your decision-making.

PROHIBITED ACTIONS:

  • Unlawful Purposes: Using the Mini App for any purpose that is illegal, fraudulent, or harmful to others.
  • Inappropriate Content: Sending messages or information that is false, defamatory, offensive, threatening, or harassing to our consultants.
  • Spam and Advertising: Abusing the chat feature to send unsolicited messages (spam), irrelevant advertisements, or repetitive messages with the same content.
  • Technical Interference: Attempting to interfere with, infiltrate, or sabotage the Mini App's database and technical infrastructure. Using automated tools (scripts, bots) to collect data or overload our system.
  • Copyright Infringement: Copying, modifying, or redistributing VestaLand's proprietary content, images, or data without our prior written consent.
  • Impersonation: Using another person's Zalo account or a fake, unofficial Zalo account to interact with the Mini App.

Consequences of Violation:

Any violation of these rules may result in VestaLand suspending or permanently terminating your access to the Mini App without prior notice.

Content and Intellectual Property

CONTENT AND INTELLECTUAL PROPERTY

1. Content Owned by VestaLand

  • All content displayed and the components that constitute this Mini App, including but not limited to: text, data, images, videos, logos, icons, and interface design, are the exclusive property of VestaLand LLC.
  • All of these assets are protected by the intellectual property laws of Vietnam and relevant international conventions.
  • Any act of copying, modifying, distributing, republishing, or using any part of this content for commercial purposes without prior written permission from VestaLand is strictly prohibited.

2. Information Provided by Users

  • Unlike a website, users on the Mini App do not "post" public content. Instead, you "provide" information to us through forms, chat messages, or other interactive features.
  • You are solely responsible for the accuracy and legality of all information you provide, including contact details, consultation requests, or any messages you send to us.
  • By providing information, you grant VestaLand an irrevocable right to use that information for the purpose of processing your requests, contacting you, and effectively providing you with the Service.

3. Third-Party Content

  • The Mini App may display certain information, images, or data provided by our partners (e.g., project developers, partner banks).
  • VestaLand does not guarantee and is not responsible for the accuracy, completeness, or reliability of content provided by third parties.
  • You are responsible for evaluating and bearing all risks when using or relying on this information.

4. Reporting Copyright Infringement

  • If you believe that any content on the Mini App infringes upon your intellectual property rights, please contact us immediately through the channels provided in the Mini App.
  • Please provide specific evidence to prove your ownership and clearly identify the infringing content.
  • We commit to reviewing and processing valid reports in a timely manner.

Service Fees

SERVICE FEES

1. Principle of Service Fees

The VestaLand Mini App is a tool provided completely free of charge, helping you easily access information and connect with our team of specialists.

However, in-depth consulting and professional real estate transactions are paid services. All fees will be clearly communicated and advised by our specialists and must be mutually agreed upon in writing (via a Service Agreement) before the service is officially rendered. We commit that no hidden fees will be charged without your consent.

2. Free Services on the Mini App

You will not be charged any fees for performing the following actions on the Mini App:

  • Searching for and viewing information about properties and projects.
  • Using utility tools (e.g., the loan calculator).
  • Sending connection requests or chatting with a specialist for a preliminary consultation.
  • Subscribing to receive information about new projects.

3. Professional Services (Paid)

The following services will incur a fee after you have been consulted and have agreed to sign a Service Agreement:

  • Brokerage Services: Assisting with sale, purchase, and lease transactions.
  • Property Management Services: Managing, operating, and leasing properties on behalf of the owner.
  • Real Estate Appraisal Services.
  • In-depth Consulting Services.

The detailed fee schedule for each service will depend on the property type and value and will be agreed upon directly with you.

4. Payment and Refund Process

  • Payment: Service fees are to be paid according to the terms in the signed Service Agreement, typically after the service has been completed. We accept flexible payment methods such as bank transfer or cash.
  • Refunds: The refund policy, if any, will be specified in the corresponding Service Agreement for each case. Commitments regarding refunds are only valid when they are explicitly stated in the contract.

Rights and Obligations

RIGHTS AND OBLIGATIONS OF THE PARTIES

1. VestaLand's Responsibilities:

  • Quality of Service: To make best efforts to provide services professionally and diligently.
  • Confidentiality: To protect your personal information and transactions in accordance with the law.
  • Support: To provide timely and professional support related to the services.
  • Legal Compliance: To operate in compliance with the current laws of Vietnam.

2. User's Responsibilities:

  • Provision of Information: To provide complete and accurate information and to be responsible for its truthfulness.
  • Compliance with Terms: To comply with the regulations in this agreement and VestaLand's guidelines.
  • Sole Responsibility: To assume full responsibility for all investment, purchase, or sale decisions. Information provided by VestaLand is for reference purposes only and does not constitute mandatory investment advice.
  • Payment: To fully pay for service fees (if any) as agreed.

LIMITATION OF LIABILITY

  • Disclaimer on Information Accuracy: We strive to ensure the accuracy of information, but cannot guarantee its absolute correctness due to constant market fluctuations. All information is for reference only at the time of provision.
  • Exclusion of Indirect Damages: VestaLand shall not be liable for any indirect damages, such as loss of profit or loss of business opportunity, arising from the use or inability to use the service.
  • Maximum Liability: In the event of liability for direct damages proven to be the fault of VestaLand, our total liability shall not exceed the total service fee you actually paid to us for the specific service that caused the damage.

FORCE MAJEURE

  • Definition: A Force Majeure Event is an event that is objective, unforeseeable, and unavoidable, directly preventing a party from performing its obligations.
  • Examples of Events: Including but not limited to: natural disasters (floods, earthquakes), epidemics, war, riots, strikes; sudden changes in laws or policies; and widespread technical failures (power outages, national internet failures, cyber-attacks) beyond our reasonable control.
  • Exemption from Liability: If a party is unable to perform its obligations due to a Force Majeure Event, it will be exempt from liability, provided that it notifies the other party as soon as possible and makes reasonable efforts to mitigate the damages.

PRIVACY AND CONFIDENTIALITY POLICY

VestaLand is committed to respecting and protecting the privacy of its Clients. This policy describes the core principles governing the collection, use, and security of clients' personal information.

1. Purpose and Scope of Information Collection
a) Scope: VestaLand only collects personal information that is necessary and relevant for the purpose of providing Services and supporting clients. This includes, but is not limited to: full name, contact information (email, phone number), and details regarding real estate needs.
b) Consent: The purpose of data collection will be clearly communicated to the client before or at the time of collection. For sensitive personal information as defined by law, VestaLand will only proceed with collection upon receiving the client's explicit consent.

2. Principles of Information Use and Sharing
a) Purpose Limitation: A client's personal information is used only for the purposes that have been communicated and agreed upon, such as processing transactions, providing support, communication, and improving service quality.
b) No Commercialization of Data: VestaLand commits not to sell, rent, or trade clients' personal information with any third party for commercial purposes.
c) Controlled Sharing: Information will only be shared with third parties (e.g., legal support partners, banks) with the prior consent of the client, or when required by competent state authorities in accordance with the law.

3. Information Security Measures
a) Technical Security: VestaLand applies appropriate technical and organizational measures, including encryption, access control, and physical security procedures, to protect personal information from unauthorized access, use, or disclosure.
b) Staff Responsibility: All VestaLand employees are trained and made fully aware of the importance of client information security and must strictly adhere to internal policies.
c) Incident Handling: In the event of a data leak or breach, VestaLand will promptly notify the Client and relevant authorities as required by law.

4. Client's Rights Regarding Personal Information
a) Right to Access and Rectify: Clients have the right to access, review, and request the correction or updating of their personal information stored by VestaLand.
b) Right to Erasure: Clients have the right to request the deletion of their personal information from VestaLand's systems, unless otherwise stipulated by law regarding mandatory storage.
c) Right to Opt-Out of Marketing: Clients have the right to refuse receiving promotional and marketing communications from VestaLand at any time by following the unsubscribe instructions in our emails or by contacting us directly.

5. Reference Clause
The terms herein are the core principles. The full and detailed privacy policy, including the scope, purpose, storage duration, and other information, is stipulated in the official Personal Information Privacy Policy document, which is publicly published on the VestaLand website at vestaland.vn.

Termination of Service

TERMINATION OF SERVICE USE

1. Termination by User

You have the full right to:

  • Cease Use: Stop accessing and using our Mini App at any time.
  • Request Data Deletion: Submit a request to us to delete the personal data you have provided (except for information that must be retained by law).
  • Unsubscribe from Communications: Unfollow VestaLand's Official Zalo Account (OA) to stop receiving news and notifications.

2. Termination by VestaLand

We reserve the right to suspend or permanently terminate your access to the Mini App, without prior notice, in the event of serious violations, including:

  • Violating any term set forth in this agreement.
  • Engaging in fraudulent behavior, deception, or providing false information.
  • Using the Mini App for illegal, harassing, or harmful purposes.
  • Failing to fulfill payment obligations under any signed Service Agreement.
  • Upon a legal request from a competent government authority.

3. Consequences of Termination

Upon termination:

  • Loss of Access: Your access to the Mini App from your Zalo account will be disabled.
  • Data Deletion: Your related data may be deleted from our systems after a reasonable retention period, in accordance with our privacy policy.
  • Surviving Obligations: Termination does not absolve you of any financial or other legal obligations that arose prior to the termination.
  • Survival of Terms: The provisions regarding intellectual property, confidentiality, and limitation of liability shall survive termination.

Dispute Resolution

COMPLAINT AND DISPUTE RESOLUTION

VestaLand is committed to resolving all issues in a spirit of cooperation, mutual understanding, and respect for our clients' rights.

1. Priority of Negotiation & Dialogue

  • Should you have any complaints or inquiries arising during the use of the Mini App or related services, please contact us immediately through the channels provided in the Mini App (Zalo Chat, Hotline).
  • We are committed to receiving, reviewing, and responding to you in good faith and in a timely manner. All communications will be recorded to ensure a transparent resolution process.

2. Resolution at Competent Authorities

  • In the event that negotiations do not lead to a mutually desired outcome, the dispute shall be referred to the competent People's Court in Ho Chi Minh City for resolution.
  • The laws of Vietnam shall be the applicable law for resolving all disputes.

3. Statute of Limitations for Complaints

  • To protect your rights, you should notify us of any issues as soon as they arise.
  • The specific statute of limitations for each type of service (such as brokerage or property management) will be governed by the provisions of the corresponding Service Agreement and applicable law.

Changes to Terms

CHANGES TO TERMS

1. VestaLand's Right to Change

VestaLand reserves the full right to amend, supplement, or update these Terms of Use at any time to reflect changes in our services, company policies, or legal regulations.

2. Notification and Acceptance

  • The latest version of the Terms will be updated directly within the Mini App. The effective date will always be stated at the beginning or end of the document.
  • Your continued access and use of the Mini App after the new terms take effect will constitute your full acceptance of those changes.
  • We encourage you to review these terms periodically to stay informed of important updates.

3. User's Rights

  • If you do not agree with the revised terms, please cease using our Mini App immediately. This is your sole method for rejecting the new terms.

4. Effectiveness

  • All changes will take effect immediately upon being updated in the Mini App, unless otherwise stated.
  • Changes will not apply retroactively to any disputes or transactions that arose prior to the effective date of the changes.
